1. Who We Are

WebElev8 is a trading name of Innovate Web Solutions, registered and operating in England. Our business address is Braemar Gardens, Slough, Berkshire, SL1 9DB. Our direct telephone is 020 3376 1140 and our primary contact email is hello@webelev8.co.uk.

These Terms of Service apply to all websites, web applications, SEO campaigns, and support contracts undertaken by WebElev8. Where a client signs a separate written statement of work or master services agreement, that agreement takes precedence over any general terms set out here.

2. Offers & Pricing

Every website and software development project is quoted individually following technical discovery. The price agreed in your formal written quote is the price you pay for the defined scope of work.

Starting guide prices for core packages are as follows:

• £1,200 ex VAT — Up to 5 pages
• £2,200 ex VAT — Up to 10 pages, with search foundations
• £3,500 ex VAT — Online shop, products and checkout

All quoted fees exclude UK VAT where VAT applies. Any work outside the agreed project specification will be quoted separately and agreed in writing before work begins. We do not apply unexpected or unapproved charges.

3. Deposits & Advance Payments

To commence work, we require an initial deposit or advance milestone payment as specified in your proposal:

• Booking Deposits: A deposit paid to reserve dedicated sprint engineering time and studio resources. Because studio capacity is allocated specifically to your schedule, booking deposits are non-refundable once project architecture begins.
• Milestone Advance Payments: Payments made against defined development phases (e.g. wireframing, frontend engineering, backend integrations). In the event that a project is cancelled before a subsequent milestone begins, unspent advance funds for uncommenced phases are refundable upon written request.

4. Monthly Payment Plans

Where agreed in your quotation, clients may spread project costs over a monthly payment plan. The plan runs for a minimum term of 12 months from the live deployment date of your website.

This monthly arrangement enables UK businesses to access custom engineering and infrastructure without large upfront capital expenditure. Because the full engineering work is delivered at launch, the client remains committed to completing all monthly payments across the agreed minimum term.

5. 90-Day Production Warranty & Remedies

We build our code to high engineering standards. WebElev8 provides an explicit 90-Day Production Warranty on all custom websites and custom software builds, commencing from the live DNS cutover date.

Under this warranty, we confirm that all services will be executed with reasonable care and skill. In the event that any technical bug, broken layout, or script error is identified within 90 days of go-live, our sole remedy and commitment is prompt repair and remediation at no additional cost.

This warranty does not cover defects caused by unauthorised third-party modifications, client hosting interventions outside our control, or updates introduced by external third-party APIs after delivery.

6. Intellectual Property & Ownership

We operate a zero lock-in policy. Upon receipt of full payment for your project (or completion of the agreed monthly plan):

• 100% Code Ownership: All custom frontend and backend source code, styles, configurations, and copy developed specifically for your project become your intellectual property.
• Asset Handover: We will provide full Git repository access, clean build artifacts, and documentation if you ever choose to migrate to internal hosting or another provider.
• Domain Protection: Your domain name is your property at all times. WebElev8 will never hold client domains hostage.
• Pre-existing Studio Tooling: WebElev8 retains copyright in its proprietary internal boilerplate code, reusable developer utilities, and deployment scripts. You receive a perpetual, non-exclusive, royalty-free license to use these embedded tools as part of your live website.

7. Client Responsibilities & Content Warranties

The client is responsible for supplying text, imagery, brand assets, and feedback within agreed project timelines.

You warrant that any text, trademarks, photographs, or graphics provided to WebElev8 are owned by you or that you have acquired appropriate written permissions from the copyright holder. You agree to indemnify WebElev8 against any legal claims or copyright infringement actions arising from materials you supply.

8. Retainers, Care Plans & Cancellation

Ongoing care plans, managed WordPress hosting, and monthly SEO campaigns are provided on a monthly subscription basis:

• Cancellation Notice: Retainers may be cancelled at any time by giving 30 days’ written notice by email to hello@webelev8.co.uk.
• Zero Exit Fees: Following the completion of any initial minimum term agreed in your quote, there are zero exit fees or penalties for cancellation.
• Handover Assistance: Upon cancellation, we will provide a complete database export and static asset archive within 14 working days.

9. Maintenance & Ad-hoc Work

Work outside the scope of an ongoing care plan is billed at our standard studio rate of £75 per hour. All ad-hoc tasks are estimated and approved by the client before execution, ensuring full cost transparency.

10. Prohibited Uses & Security

You agree that services provided by WebElev8 will not be used for unlawful activities under UK law, including the dissemination of malicious software, phishing scams, spam broadcasting, or content infringing UK Intellectual Property Office regulations.

11. Limitation of Liability

To the maximum extent permitted by English law, WebElev8 shall not be liable for any indirect, incidental, punitive, special, or consequential damages (including loss of profits, loss of anticipated savings, business interruption, or data corruption) arising out of or related to your use of our services or websites.

In all circumstances, our total aggregate liability arising under or in connection with any contract or engagement shall be strictly capped at and limited to the total service fees paid by the client to WebElev8 for the specific project giving rise to the claim.

12. Governing Law & Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

Both parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.

13. Changes to These Terms

We may revise these Terms of Service periodically to reflect changes in legal or statutory obligations. Updated terms will be published to this URL with a revised effective date. Existing signed commercial proposals are governed by the terms agreed at the time of execution.
